We are seeking an experienced Paralegal specializing in commercial financing, mergers and acquisitions, and real estate matters to support our growing team. With a friendly and professional atmosphere, this is a fantastic opportunity to work on high-impact projects in a collaborative environment.Key Responsibilities:Commercial Financing Documentation:– Prepare key financing documents, including movable and immovable hypothecs, loan agreements, guarantees, share pledges, and corporate resolutions.
– Draft closing agendas and coordinate transaction closings with precision.Corporate and Commercial Matters:– Assist in drafting sophisticated legal documents such as shareholder agreements, leases, credit agreements, share and asset purchase agreements, and more.
– Utilize advanced Word functions (table of contents, automatic numbering, cross-referencing) to create professional and polished documents.Searches and Registrations:– Perform corporate and property searches, including Land Registry, RDPRM, Industry Canada, and others.
– Confidently handle registrations at the RDPRM, land register, Canadian Intellectual Property Office, and Bank of Canada.Administrative Excellence:– Manage files, maintain attorney calendars, track billable time, and support billing processes.
– Organize documents and ensure seamless workflow across the team.What We’re Looking For:– Significant experience with the RDPRM program, including searches, registrations, discharges, and preparing search summaries.
– Advanced proficiency in Microsoft Word and Outlook.
– Strong organizational skills with a meticulous eye for detail.
– Ability to handle multiple priorities under pressure while meeting deadlines.
