Job Title: Company Secretarial AssistantLocation: Stirling Square, London. We offer a range of hybrid and flexible working arrangements – please speak to your recruiter about the options for this particular role.Salary: £43,000 + depending on experienceWhat you’ll be doing:Compliance & Governance

  • Maintain statutory registers and ensure timely filings with Companies House
  • Support corporate compliance processes, including document signing and regulatory updates
  • Stay informed on statutory and regulatory requirements

Board & Meeting Support

  • Organise subsidiary board meetings, including agenda preparation, document distribution, and drafting minutes
  • Coordinate board approvals for statutory accounts and liaise with directors, auditors, and preparers for filings
  • Stakeholder & Document Management
  • Review sections of UK subsidiary statutory accounts and provide feedback
  • Support company rationalisation, liquidation processes, and wind-down actions
  • Prepare corporate authority documents (e.g., Powers of Attorney) and manage execution, notarisation, and legalisation as needed

Process Improvement & Projects

  • Assist with process enhancements, new initiatives, and resolving legacy matters
  • Support corporate governance projects and ad hoc team initiatives

Listed Entity & Corporate Governance

  • Assist with disclosure processes related to listed markets and AGM activities
  • Help maintain corporate governance content on company web pages

General Administration

  • Manage subsidiary records and process department purchase orders, invoices, and payments

Your skills and experiences:Essential

  • Newly qualified or currently studying towards a Chartered Governance Institute (CGI) qualification
  • Proactive approach to tasks, with the ability to prioritise, anticipate issues, and meet deadlines
  • Well organised, able to work under pressure, particularly in areas such as compliance, commercial transactions, or mergers and acquisitions, which may have time-sensitive requirements

Desirable

  • Familiarity with company secretarial functions and the requirements of Companies House
  • Understanding of subsidiary company management and compliance

You will play a key role in supporting the management of BAE Systems group subsidiary entities, ensuring compliance with legal and regulatory requirements.This role is ideal for a junior professional looking to develop their career within a Company Secretariat team, particularly someone with excellent administrative skills, ideally within a legal function. You will liaise with senior stakeholders, including subsidiary directors, and interact with external organisations such as Companies House, auditors, HMRC, law firms, banks, and registrars.Success in this role requires attention to detail, reliability, and the ability to manage confidential information with discretion.
