Requisition ID: 205988Join a purpose driven winning team, committed to results, in an inclusive and high-performing culture.The Director contributes to the overall success of the Strategic Transactions & Review team, which is responsible for the execution of M&A and other strategic projects that advance the development and implementation of the Bank’s corporate plans, strategies and objectives.The Director is primarily responsible for identifying, analyzing and pursuing acquisitions or divestitures, in partnership with Business Lines and other functional groups or stakeholders. The role also includes evaluation of partnership opportunities, supporting internal strategic reviews and other analytical requests on behalf of the Board and executives. The incumbent leads internal and external cross-functional teams to manage and execute all aspects of the transactions.The Director is also responsible for developing and applying analytical frameworks and quality standards in order to ensure consistent presentation and evaluation of opportunities to executives and senior management of the Bank, and to ensure all activities conducted are in compliance with governing regulations and internal policies and procedures.The position is based in Toronto but has global scope, including a strong focus in Latin America.Is this role right for you? In this role, you will be responsible for:

  • Supporting business lines in the development and execution of their business plans on matters related to acquisitions, divestitures and other strategic corporate development opportunities:
  • Coordination of strategic analysis, including identification of acquisition and divestiture opportunities
  • Oversight of detailed financial modeling, country analysis (economic and financial sector including competitive and regulatory environment), analysis of prospects (financial and macro) and evaluating the overall financial and strategic impacts to the Bank
  • Development of presentations to executives and senior management for discussion/approval of M&A opportunities, detailing the structure and rationale behind complex models
  • Leading and managing cross-functional teams in evaluating, analyzing and completing operational aspects of acquisitions, divestitures and/or alliance opportunities that will be accretive to the Bank’s strategy and earnings:
  • Leading the preparation and review, and, when applicable, recommending negotiating points, of all deal documentation, including engagement letters, confidentiality agreements, due diligence request lists, process letters, fairness opinion letter, purchase agreements and regulatory applications
  • Supervising and/or managing financial analysis of opportunities including valuation and determination of financial impact on the Bank
  • Structuring and leading due diligence processes for acquisitions and divestitures including oversight of enterprise-wide due diligence efforts, confidential information memorandum preparation, data room setup or review, management meetings, Q&A processes, etc.
  • Working closely with functions and product groups across the Bank and builds and fosters relationships that enable comprehensive, timely analysis and execution of projects and activities with:
  • All business lines (including interacting directly with the bank’s international operations)
  • Functional areas and internal groups (HR, Legal, Risk, Finance, Tax, Insurance, Accounting Policy, Compliance, Integrations, Capital Management, Strategy, Marketing, Communications, Investor Relations, etc.)
  • External stakeholders (legal counsel, investment banking, consulting firms, etc.)
  • Understanding how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions to develop and implement frameworks, processes, and communications which:
  • More effectively identify, analyze, and present opportunities
  • Ensure consistent approach to evaluation and application of best practices to activities across business lines
  • Ensure the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational risk, regulatory compliance risk, AML/ATF risk and conduct risk, including but not limited to responsibilities under the Operational Risk Management Framework, Regulatory Compliance Risk Management Framework, AML/ATF Global Handbook and the Guidelines for Business Conduct
  • Providing analytical and other support with respect to various regulatory initiatives and Bank activities (especially those promulgated by Finance Canada, OSFI, the Competition Bureau and the CDIC)
  • Championing a high-performance environment and contributes to an inclusive work environment.
  • Developing staff capabilities within the Strategic Transactions & Review group

Do you have the skills that will enable you to succeed? We’d love to work with you if you have the following:

  • 7+ years of experience in M&A, financial modeling, valuation, consulting, or other relevant experience
  • 5+ years progressive experience in the management of large, complex and diverse projects or functions in corporate management portfolios
  • Experience in analyzing bank financial statements, products / divisions, earnings drivers and valuation metrics is preferred
  • Fluency in Spanish required
  • Undergraduate or post graduate education in business or related discipline with emphasis in finance, accounting, economics and other relevant subject areas
  • Professional designations (CA, CMA, CPA, CFA) are a strong asset
