Location: Atlanta, GA, Denver, CO, St. Louis, MO, or Charlotte, NCCompensation: $200k+ (dependent on experience, location, and expertise)We are seeking a highly motivated and skilled mid-level associate with 3-6 years of experience to join our Employee Benefits and Executive Compensation practice. This role is based in one of our offices located in Atlanta, Charlotte, Denver, or St. Louis. Responsibilities:
- Provide expert counsel on ERISA regulations, fiduciary duties, and relevant sections of the Internal Revenue Code (e.g., 409A, 280G).
- Draft and review executive compensation agreements, including stock option plans, deferred compensation arrangements, and other incentive programs, ensuring compliance.
- Conduct due diligence on employee benefit plans during mergers and acquisitions, and assist in negotiating and drafting purchase agreement provisions.
- Perform comprehensive legal research and analysis on complex employee benefits and executive compensation issues.
- Utilize legal research databases and Microsoft Office Suite to efficiently manage and execute client matters.
Qualifications:
- 3-6 years of experience in employee benefits and executive compensation law within a reputable law firm.
- Strong understanding of ERISA and the Internal Revenue Code.
- Proven experience in M&A transactions and related due diligence.
- Excellent written and oral communication skills.
- Strong analytical and problem-solving abilities.
- Proficiency in legal research databases and Microsoft Office Suite.
- Ability to manage multiple priorities and effectively work within a team environment.
