We partner with audit teams throughout U.S. IPO and 144a processes through review of financial statements, prospectus/offering memorandums and other SEC filings and assist with the comfort letter process. We also provide guidance on PCAOB auditing requirements, including consideration of internal controls for integrated and non-integrated audits, the application of IFRS and US GAAP, and U.S. Securities & Exchange Commission (SEC) financial reporting requirements. With regard to annual reports filed with the SEC, GCMG is responsible for performing filing reviews pursuant to Appendix K – SEC Practice Section Member Firms with Foreign Associated Firms that Audit SEC Registrants, as adopted by the PCAOB. Our role primarily involves the review of financials statements and underlying audit documentation for significant accounting, financial reporting and independence matters, as deemed necessary.In addition to overall project management, we can assist with US GAAP/IFRS financial statement conversions, guidance on complex accounting matters, and assessments of the impacts of new accounting standards.Connect to your career at DeloitteDeloitte drives progress. GCMG professionals will gain extensive experience with IFRS, US GAAP and related technical issues, as well as hands-on experience with cross-border transactions involving the U.S. SEC and international regulators.As a Senior Manager within GCMG practice, you will have responsibility for:

  • Assisting in US and non-US transactions to help clients successfully navigate through the offering process, including reviewing and drafting offering documents;
  • Drafting letters required for US and non-US transactions, including engagement letters and SAS 72 or SAS 72 look alike comfort letters;
  • Providing assistance to Deloitte audit teams in the application of PCAOB auditing standards;
  • Understanding major GAAP differences and performing GAAP conversions;
  • Understanding SOX internal controls and providing assistance to clients in implementing SOX compliance programs;
  • Developing and delivering internal and external IFRS, US GAAP and SEC Regulations trainings to other member firms as well as potential and existing clients;
  • Consulting on technical issues under both IFRS and US GAAP.

  • Knowledge of US GAAP and/or IFRS (preferable, there is learning on the job!);
  • Knowledge of PCAOB auditing standards;
  • Experience with applying PCAOB auditing standards;
  • SEC reporting experience through 10-Ks, 20Fs or other SEC forms and an understanding of the SEC S-X and S-K rules, interpretations and application preferred, but not required;
  • Experience with comfort letters preferred, but not required;
  • Ability to research technical accounting issues under both US GAAP and IFRS;
  • Certified Public Accountant, Chartered Accountant, or equivalent.
